Effective Date: January 2025
This Agreement governs access to Asoba's Zorora and Nehanda software tools ("Tools") provided for research and educational purposes.
Asoba grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Tools for non-commercial research and educational purposes only.
You may use the Tools solely for:
- Academic research
- Coursework and educational projects
- Personal skill development in AI/ML engineering
You may not:
- Use the Tools for any commercial purpose
- Redistribute, sublicense, or provide access to third parties
- Integrate the Tools into production systems or commercial products
- Reverse engineer, decompile, or attempt to extract source code beyond what is provided
- Use the Tools in any manner that violates applicable law
By using the Tools, you acknowledge and consent to the following:
- Queries and prompts submitted to the Tools
- Your feedback on model responses
- Usage patterns and interaction logs
- To improve Tool performance and capabilities
- For academic research and publication
- For AI model training and optimization
- For internal analysis by Asoba
- All collected data is stored securely
- Access is limited to Asoba team members
- Data may be aggregated and anonymized for publication
You retain ownership of research outputs, analyses, and publications you create using the Tools.
Asoba retains all rights in the Tools, including any improvements derived from your feedback or usage data. By providing feedback, suggestions, or contributions, you grant Asoba a perpetual, royalty-free, worldwide license to use, modify, and incorporate such contributions.
Asoba may use anonymized or aggregated data from your usage for case studies, publications, and promotional materials.
If you publish research, papers, or other outputs that relied on the Tools, you must include appropriate acknowledgment of Asoba and the Tools used. Suggested citation format will be provided upon request.
THE TOOLS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ASOBA MAKES NO REPRESENTATIONS REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUTS GENERATED BY THE TOOLS. YOU ASSUME ALL RISK ASSOCIATED WITH USE OF THE TOOLS.
ASOBA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE TOOLS, REGARDLESS OF CAUSE OF ACTION OR THEORY OF LIABILITY.
You agree to indemnify and hold harmless Asoba and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Tools or violation of this Agreement.
This Agreement remains in effect until terminated.
Asoba may terminate your access at any time, for any reason, without notice. You may terminate by discontinuing use and notifying Asoba.
Upon termination, your license to use the Tools ends immediately. Sections 4, 5, 6, 7, 8, 9, and 11 survive termination.
This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
This Agreement constitutes the entire agreement between you and Asoba regarding the Tools and supersedes all prior agreements.
Asoba may modify this Agreement at any time. Continued use of the Tools after modification constitutes acceptance.
If any provision is found unenforceable, the remaining provisions remain in effect.
By requesting access to the Tools, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
